Terms of business
Last updated: 20 October 2026
1. About these terms
These terms apply to all services provided by Talvent Limited ("Talvent", "we", "us"), a company registered in England and Wales with company number 17529364 and registered office at 155a Green Lanes, London, N13 4SP, to any business that uses our services ("you", "the client").
Before any work starts, we will send you a written agreement or order form that confirms the role, the fee and the start date. If anything in that agreement differs from these terms, the signed agreement takes priority.
Our services are for businesses only. They are not offered to consumers.
2. Our services
Dedicated Remote Staff
We recruit, employ and manage a professional who works full-time for your business only. The team member is employed through Talvent, not by you. We handle their salary, payroll, HR, equipment and benefits. You direct their day-to-day work.
Permanent Recruitment
We find, screen and introduce candidates for a role that you will employ directly. Once you hire a candidate, they become your employee and you are responsible for their employment.
3. Dedicated Remote Staff: fees and payment
- Each role has a fixed monthly fee, agreed in writing before the team member starts. The fee depends on the role, skills and experience required.
- We invoice monthly in advance. Invoices are due within 14 days of the invoice date.
- We invoice from our UK company in USD, GBP, EUR or AED. Payment is by bank transfer.
- We may review the monthly fee once a year. We will give you at least 60 days' written notice of any change.
4. Dedicated Remote Staff: contract length and notice
- The minimum contract is 3 months for each team member, starting on their first working day.
- After the first 3 months, either side can end the arrangement for a team member by giving 30 days' written notice.
- Either side can end the agreement straight away by written notice if the other side seriously breaks these terms and does not put it right within 14 days of being asked to, or becomes insolvent.
5. Replacements
If a team member is not the right fit, tell us. We will discuss the issue with you and, if needed, find a replacement at no extra cost. If a team member leaves, we will recruit a replacement as quickly as possible. You will not be charged for any days when no team member is working for you.
6. Hiring our team members directly
Our team members are employed and trained by Talvent. While they work for you, and for 12 months after they stop working for you, you agree not to employ or engage them directly or through another company without our written agreement. If you would like to take a team member on directly, talk to us. We can agree a transfer, and a transfer fee equal to 3 months' fees for that role will apply.
7. Permanent Recruitment: fees and guarantee
- Our fee is 10–15% of the candidate's first-year base salary. The exact percentage is agreed in writing before we start the search.
- There is no upfront fee. The fee becomes due when the candidate accepts your offer, and we invoice on their start date. Invoices are due within 14 days.
- A fee is also due if you, or any company connected with you, hire a candidate we introduced within 12 months of the introduction, for any role.
- If the candidate leaves or is dismissed within the first 12 weeks of employment, we will search for a replacement at no extra cost. This guarantee applies only if our invoice was paid on time, you tell us within 7 days of the candidate leaving, and the role was not made redundant or substantially changed.
8. Late payment
If an invoice is not paid on time, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998. For Dedicated Remote Staff, we may also pause the service until overdue invoices are paid.
9. Your responsibilities
- Give our team members the instructions, system access and information they need to do the work.
- Treat our team members fairly and professionally, and tell us promptly about any concerns.
- Make sure the work you ask for is lawful.
10. Confidentiality and data
All our team members sign confidentiality agreements. We will keep your business information confidential and only use it to provide our services. Where our team members handle personal data on your behalf, we will sign a data processing agreement with you and put data transfer agreements in place where the law requires them.
11. Ownership of work
Once the related fees have been paid, all work produced for you by our team members belongs to you. We will sign any documents reasonably needed to confirm this.
12. Liability
- We will provide our services with reasonable skill and care.
- We are not liable for any loss of profit, revenue, business or data, or for any indirect or consequential loss.
- Our total liability to you in any 12-month period is limited to the fees you paid us in that period.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
13. Things outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as power or internet outages, natural disasters, government action or civil unrest. We will tell you as soon as possible and do our best to keep the service running.
14. General
- We may update these terms from time to time. The version in force when you sign your agreement applies to that agreement.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
